End User License Agreement (EULA)
This End User License Agreement (“Agreement”) is a legally binding agreement between Best Performance Business Services, LLC (“Company,” “we,” “us,” or “our”) and the purchaser, licensee, or user (“User,” “you,” or “your”) of any digital financial model, analytical system, workbook, software component, or related product provided by the Company (collectively referred to as the “Product”).
By purchasing, downloading, installing, activating, opening, or using the Product, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement.
If you do not agree to these terms, you may not use the Product.
1. License Grant
Subject to the terms of this Agreement and upon lawful purchase, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use the Product.
Unless a Commercial License or other expanded license is explicitly purchased in writing from the Company:
• The Product may be used solely for internal business or professional purposes
• The license applies to one individual or one organization
• The Product may not be redistributed, sublicensed, or transferred to third parties
The Product is licensed, not sold.
No ownership rights are transferred to the User.
2. Activation and License Verification
Certain Products require activation using a license key or activation ID.
You agree that you will not attempt to:
• Reverse engineer the Product
• Decompile or disassemble code or VBA components
• Modify or disable protection mechanisms
• Bypass or circumvent activation or licensing controls
• Attempt to generate unauthorized license keys
• Access restricted worksheets, modules, or protected structures
Unauthorized attempts to bypass license controls may result in:
• Immediate termination of the license
• Revocation of activation rights
• Permanent restriction from future licensing
No refund will be provided in cases of license violation.
3. Intellectual Property Ownership
All rights, title, and interest in the Product remain the exclusive property of Best Performance Business Services, LLC.
This includes but is not limited to:
• Model architecture and financial frameworks
• Algorithms and calculation logic
• Spreadsheet structures and model design
• VBA code and automation routines
• Formulas and forecasting systems
• Analytical methodologies
• Documentation and instructional materials
The Product is protected by copyright, trade secret, and intellectual property laws.
Nothing in this Agreement transfers ownership of the Product to the User.
4. Restrictions on Use
You may NOT:
• Share or distribute license keys
• Copy or distribute the Product to third parties
• Upload the Product to file-sharing platforms or repositories
• Provide the Product as part of consulting deliverables or services without authorization
• Resell or redistribute the Product without a Commercial License
• Remove copyright, trademark, or branding notices
• Attempt to recreate, replicate, or derive the architecture or methodology of the Product for development of competing products
Any unauthorized distribution constitutes copyright infringement and may result in legal action.
5. Permitted Internal Use
Users may utilize the Product internally within their organization for legitimate analytical or operational purposes including:
• Financial analysis
• Business planning
• Forecasting and modeling
• Credit and risk analysis
• Internal reporting and decision support
However, the Product itself may not be transferred, resold, or embedded in external deliverables without appropriate licensing.
6. No Professional Advice
The Products provided by the Company are analytical tools only.
They do not constitute:
• Financial advice
• Investment advice
• Legal advice
• Tax advice
• Accounting advice
All outputs, calculations, and forecasts generated by the Product must be independently verified before being relied upon for business or financial decisions.
Users assume full responsibility for how the Product is used.
7. Limitation of Liability
To the maximum extent permitted by law, Best Performance Business Services, LLC shall not be liable for any damages arising from the use of the Product, including but not limited to:
• Lost profits
• Loss of data
• Business interruption
• Financial losses
• Indirect or consequential damages
• Decisions made using Product outputs
The Product is provided “AS IS” without warranties of any kind, either expressed or implied.
Use of the Product is at the User’s own risk.
8. Digital Product Policy
All Products distributed by the Company are digital software products delivered electronically.
Due to the nature of digital delivery:
• All sales are final once access to the download has been provided
• Refunds are not issued for change of mind, lack of technical knowledge, or misunderstanding of product functionality
Technical issues related to file delivery, activation, or product integrity will be addressed in good faith by the Company.
9. Termination
This license automatically terminates if you violate any provision of this Agreement.
Upon termination you must immediately:
• Cease all use of the Product
• Delete all copies of the Product from your systems
• Destroy any distributed copies in your possession
The Company reserves the right to revoke license activation in cases of misuse or violation.
10. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of the State of South Carolina, United States, without regard to conflict of law principles.
Any disputes arising under this Agreement shall be resolved in the appropriate courts located within South Carolina.
11. Entire Agreement
This Agreement constitutes the entire agreement between the User and Best Performance Business Services, LLC regarding the Product and supersedes any prior agreements, communications, or understandings related to the Product.
